Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Manage Events platform and services ("Platform"). The Platform is operated by Zeus ICT Services Pty Ltd t/a Manage Events (ABN: 47 654 725 434) ("we", "us", "our"). By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use the Platform.

1. Acceptance of Terms

Your use of the Platform constitutes acceptance of these Terms. If you are using the Platform on behalf of an organisation, you warrant that you are authorised to bind that organisation.

2. Definitions

  • "Platform" refers to the Manage Events website, SaaS software, tools, features, and associated services.
  • "Event Organiser" means a User who creates, manages, or promotes events.
  • "Vendor" means a User who applies to participate in events or sells goods/services at events.
  • "User" means any person or entity using the Platform.
  • "Content" means any data, text, images, files, or information uploaded, created, submitted, or made available through the Platform.

3. Platform Role and Disclaimer

3.1 Not a Party to User Agreements

The Platform facilitates communication and transactions between Event Organisers and Vendors. We are not an event organiser, vendor, agent, broker, contractor, or legal representative of any User. Contracts, agreements, payments, and arrangements between Users are strictly between those Users.

3.2 No Responsibility for Event Outcomes

We do not guarantee:

  • the accuracy of event information
  • the quality, safety, legality, or occurrence of events
  • Vendor performance
  • Event Organiser performance
  • attendance levels or commercial outcomes

All Users engage with one another at their own risk.

3.3 No Control Over User Conduct

We do not control User behaviour or verify the accuracy of User Content. We disclaim liability for actions, omissions, or content of any User.

4. User Accounts

4.1 Registration

Users must provide accurate and complete information and keep their details updated.

4.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

4.3 Eligibility

Users must be at least 18 years old. We may suspend or refuse accounts at our discretion.

5. Acceptable Use

Users must not:

  • violate any Australian law or regulation
  • upload unlawful, defamatory, harmful, offensive, or infringing content
  • impersonate any person or entity
  • upload viruses or attempt to breach Platform security
  • scrape, mine, copy, or extract data
  • reverse engineer, decompile, or copy the Platform
  • interfere with Platform operation
  • use the Platform to harass, abuse, or harm others
  • attempt to bypass Platform fees or system controls

We may suspend or terminate accounts for AUP violations.

6. Event Organiser Responsibilities

Event Organisers acknowledge and agree that they are solely responsible for:

  • accuracy of event listings and information
  • obtaining permits, approvals, insurance, and compliance with all laws
  • managing their own refund, cancellation, and dispute policies
  • Vendor selection decisions
  • payments owed to Vendors (if applicable)

Event Organisers must not discriminate contrary to Western Australian or Commonwealth legislation.

7. Vendor Responsibilities

Vendors acknowledge and agree that they are solely responsible for:

  • submitting accurate applications and information
  • holding required insurance, licences, and permits
  • uploading relevant documents when requested by the platform or event organiser
  • complying with all relevant health, safety, and consumer laws
  • attending events they are accepted into
  • paying fees and understanding refund terms

8. Payments and Fees

8.1 Platform Fees

We may charge fees for certain features or services. All platform fees are advertised within the platform and need to be accepted by the User prior to the feature or service being enabled. All fees are in AUD and may include GST where applicable.

8.2 SMS Fees

The platform offers SMS functionality. There are fees associated with this functionality which are charged on the 1st of each month for the actual usage from the prior month. When SMS is enabled, the User agrees that they are responsible for these charges and they must be paid by the due date.

The SMS functionality can be disabled, but SMS messages already consumed will be invoiced immediately and must be paid for by the due date.

8.3 Third-Party Payment Processors

Payments may be processed through third-party providers. We:

  • do not store payment card information
  • are not responsible for processor errors, chargebacks, or settlement delays
  • are not a party to payment disputes between Users

8.4 Refunds

Refund policies are set by Event Organisers. Platform fees and service charges may be non-refundable unless required under ACL.

9. Modifications to Platform

We may modify, update, suspend, discontinue, or remove any part of the Platform at any time without liability. This includes adding or removing features, tools, or support.

10. Intellectual Property

10.1 Platform Ownership

All intellectual property relating to the Platform is owned by Zeus ICT Services Pty Ltd t/a Manage Events. Users obtain a limited, non-exclusive, non-transferable licence to use the Platform.

10.2 User Content Licence

By uploading or submitting Content, you grant us a worldwide, royalty-free, sublicensable licence to use, display, store, reproduce, and distribute the Content as necessary to operate, develop, and promote the Platform.

10.3 Content Removal

We may remove or disable Content at our discretion, including content that violates these Terms or applicable laws.

10.4 Feedback

Any suggestions, improvements, or feedback you provide may be used by us without restriction or compensation.

11. Data, Availability & Security

11.1 Service Availability

We do not guarantee continuous, uninterrupted, or error-free operation of the Platform.

11.2 Data Storage

We do not guarantee that data will be stored indefinitely. Users are responsible for backing up their own information.

11.3 Maintenance & Downtime

We may suspend the Platform for maintenance, upgrades, or security reasons.

11.4 Force Majeure

We are not liable for failures caused by events outside our reasonable control (e.g., outages, cyberattacks, natural disasters).

12. Disclaimer of Warranties

The Platform is provided "as is" and "as available". To the maximum extent permitted by Australian law, including ACL:

  • we disclaim all warranties (express or implied)
  • we do not guarantee accuracy, reliability, or completeness of information
  • we do not guarantee returns, results, or event outcomes

Nothing in these Terms excludes rights that cannot be excluded under the ACL.

13. Limitation of Liability

To the maximum extent permitted by law, and subject to ACL:

  • we are not liable for indirect, consequential, incidental, punitive, or special damages
  • we are not liable for loss of profits, revenue, goodwill, data, or business opportunities
  • we are not liable for disputes between Event Organisers and Vendors
  • we are not liable for event cancellations, no-shows, or performance of Users

If liability cannot be excluded, our total aggregate liability is limited to: the total Platform fees paid by you in the 12 months preceding the claim.

This limitation does not apply where prohibited by the ACL.

14. Indemnity

You indemnify and hold Manage Events harmless from claims, losses, liabilities, damages, and expenses arising from:

  • your use of the Platform
  • your breach of these Terms
  • your Content
  • your dealings with other Users
  • violation of any law

15. Privacy

The collection and handling of personal information is governed by our Privacy Policy, which complies with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.

16. Termination

16.1 By Us

We may suspend or terminate your account at any time, including for:

  • breach of these Terms
  • unlawful behaviour
  • non-payment
  • security concerns
  • misuse of the Platform

16.2 By You

You may terminate your account by contacting us.

16.3 Effect of Termination

  • No refunds are provided unless required by law.
  • We may retain data for legal, business, or compliance purposes.
  • Licences granted to us for User Content survive termination.

17. Dispute Resolution

Before initiating legal action, parties agree to attempt resolution through good-faith negotiation. If unresolved, disputes must proceed to mediation in Perth, Western Australia, using a mediator agreed between the parties or appointed by the Resolution Institute.

Nothing prevents either party from seeking urgent injunctive relief.

18. Governing Law

These Terms are governed by the laws of Western Australia, and the parties submit to the exclusive jurisdiction of the courts of Western Australia.

Nothing in these Terms excludes your rights under the Australian Consumer Law.

19. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or Platform notification. Continued use of the Platform constitutes acceptance of the updated Terms.

20. Severability

If any provision is found unenforceable, the remaining provisions remain in full force and effect.

21. Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Manage Events.
